TERMS AND CONDITIONS (‘Terms’)

Please read these Terms and Conditions carefully. Your use of the Site, Services and Content indicates Your acceptance of them. If you register for a free trial for our Services, the applicable provisions of this agreement will also rule that free trial.
These Terms are effective as of the date of Your accepting the Subscription Agreement and these Terms. These Terms also apply individually to any Subscriber User, subject to their acceptance of the Terms, before accessing the Services.
If you are entering into this agreement on behalf of a company or a legal entity, you hereby confirm that you have the authority to bind such entity and its affiliates to these Terms and Conditions. If you do not have such authority, or if you do not agree with these Terms and Conditions, you must not accept this agreement and may not use the Services.

This website (www.medboard.com), ("Site") is operated by The MedBoard Company Ltd, a company registered in England and Wales, company registration number 10994242 ("Company”), with registered office at 9 Kerry Street, LS18 4AW, Horsforth (Leeds), UK.
- Definitions
Within this document and within the Site, the terms
2.1 “We, “Us” or “Our” refer to the Company
2.2 “You” or “Your” refer to the company or a legal entity (collectively with its subsidiaries and/or affiliated companies) which have entered into Subscription Agreement with Us, including Your Subscriber Users.
2.3 “Subscriber User” refers to individuals, which You have authorised to have access to Our Services and the Content and to whom We have supplied a user name and password upon Your request. Subscriber Users must be Your employees. Subject to prior written consent by Us, Subscriber Users may also include Your contractors.
2.4 “Services” refers to products and services made available by Us through the Site.
2.5 “Content” refers to the information made available to you through the Site.
2.6 ‘Subscription Agreement’ refers to the annual subscription agreement between You and the Company.
- Terms – definition and changes to the Terms
The terms and conditions (“Terms”) are a legal agreement between the Company and You. Your use of the Site, Services and Content is subject to these Terms. If you do not agree to these Terms, you must cease the use of the Site immediately. We recommend that you save a copy of these Terms for your records. These Terms can only be modified with our written consent.
These Terms may be subject to periodical changes and updates by Us. We advise You to review the Terms regularly on the Site to make sure You are aware of any changes, as Your continued use of the Site indicates Your acceptance of the amended Terms.
- Levels of Access
The Site permits you two levels of access according to your registration and subscription status:
- Registered User: you are required to register your email address and brief personal details which We will use in accordance with our Privacy Policy.
- Subscriber User: you have access to the Site’s privileged Content and Services as per the Subscription Agreement.
- Free Trial
If You register for a free trial, the following terms and conditions will apply:
- We will make our Services and privileged Content available to You on a trial basis free of charge, as a Subscriber User
- The free trial period shall last for a period of 7 days, unless otherwise specified by Us
- Any data you enter into the Site during the free trial period will be permanently lost unless you export such data before the end of the trial period or purchase a subscription
- Notwithstanding sections 7 and 10 of this Agreement, during the free trial period you may not download, post, display or distribute any site Content, in any form or by any means, in whole or in part
- We reserve the right to change the features of the free trial or cancel the free trial offer at any time

- Fees and Payment
Services and access to Content are purchased as non-cancellable annual subscriptions. The price and payment terms for the subscription are defined in the invoice. The access to the Services and the Content will be granted to You upon Our receival of the payment, or earliest upon receival of the written proof that the payment has been made by You.
You shall pay each invoice within the period of time indicated in the invoice. We reserve the right to charge an interest rate of 5% (five percent) per annum on the unpaid balance, in addition to the invoiced amount. The interest rate will be applied starting forty-five (45) days from the date of the invoice until the unpaid balance have been paid.
- Termination:
The Subscription Agreement terminates twelve (12) months from the date of entry into force, unless otherwise stated in the Subscription Agreement or the invoice. Agreement may be terminated by a party immediately where confidentiality or copyright obligations or any Terms and conditions detailed herein are breached by the other party.
The Subscription Agreement will automatically renew for another period of twelve (12) months, unless cancelled at least thirty (30) days before the end of the initial term. If there is a change in the subscription price for the new period, We will notify You of that change at least ninety (90) days before the start of the new subscription period.
- Use of Services and Content
8.1. Usage Limits
Services and Content are limited for use to the number of Subscriber Users specified in the Subscription Agreement and/or invoice. The Service or Content shall not be accessed by more than the number of Subscriber Users specified in the Subscription Agreement and/or invoice. Subscriber User’s access details (login, password) shall not be shared with any other individual. Upon Your request, we may add new Subscriber Users, as per your subscription details specified in the Subscription Agreement and/or invoice, or remove the ones who are no longer using the Service. Should a Subscriber User terminate legal employment with You, You are responsible to communicate this to Us immediately. Such a Subscriber User will be removed from the Services and Content access.
8.2. Download and Usage of Content
Download of the site Content for internal use within your organization is permitted only if you purchase a subscription. The downloaded Content may be displayed, reformatted and distributed internally within your organisation only in insubstantial portions for the ordinary course of your business. You must not use any Site Content for commercial purposes without Our prior written consent, or outside of these Terms
Subject to the above, you must not modify in any way the paper or digital copies of any materials you have printed off our Site or downloaded from our Site and you must not use those materials separately from any accompanying text.
Download of the site Content is not permitted during the free trial period.
8.3. Restrictions
You will not:
- assign or transfer, in whole or in part, this Agreement or the Services to any other legal or natural person;
- reverse engineer, decompile, or disassemble the Services, or attempt to do so, unless authorised in writing by Us;
- sub-contract, sub-license, distribute, disclose or transfer the Services, in whole or in part, to any third party, without the express written consent by the Company;
- You may not create a database (electronic or manual) by systematically and/or regularly downloading, caching, printing and storing any or all Content held within the Site;
- use the Services or Content after any termination by Us resulting from Your breach of these Terms;
- disclose the Services to any third party without Our prior written consent;
- access the Services if You are Our direct competitor or for any competitive purposes including benchmarking or monitoring their functionality, performance or availability.
8.4. Your Responsibilities
You will:
- be responsible for Subscriber Users’ compliance with the Subscription Agreement.
- use the Services and Content in alignment with the Subscription Agreement, Terms and Conditions, and applicable laws.
- prevent any access or use from any Subscriber User that has ended your employment relationship with You, and therefore is not part of the Subscription Agreement any longer.
- use reasonable efforts to prevent unauthorized access, including its use, to the Services and Content. You will notify immediately the Company of any unauthorised access or use.
- Legal Disclaimer
You will not use Our Site for any fraudulent or illegal purpose or in connection with a criminal offence. You will be responsible for Subscriber Users’ compliance with this Agreement and will use reasonable efforts to prevent unauthorised access or use of Services and Content.
MedBoard makes the best to ensure the accuracy and reliability of the information provided on this Site. The information is provided "as is" without warranty of any kind. MedBoard does not accept any responsibility or liability for the accuracy, content, completeness, legality, reliability or timeliness of the information, or that is fit for a particular case or purpose.
MedBoard shall not be liable for any loss or damage of whatever nature arising as a result of your use of this Site, or from your use of the information on this Site.
The Site provides links to third party websites, not owned by MedBoard. If you use these links, you will leave our Site. MedBoard does not have control and is not responsible for them or their content or availability. MedBoard does not endorse such third-party sites, including any material found there. MedBoard is excluded from all liability of any kind arising from any third-party content, information, or any other nature.
